中国秦发集团有限公司已签署《担保函》，同意为全资子公司香港秦发能源有限公司（Hong Kong Qinfa Energy Limited）与广东广物香港有限公司（Guangdong GW (Hong Kong) Company Limited）签订的《煤炭供需框架合同》及其相应单船合同、补充协议、往来函件、承诺函等文件（合称「主合同」）项下的预付款返还义务及相关违约责任（包括返还预付款人民币一亿元、违约金、损害赔偿金、预付款占用利息及实现债权的合理费用等）提供连带责任保证。最高担保金额不超过人民币一亿元。
China Qinfa Group Limited has signed a letter of guarantee, agreeing to provide a joint and several liability guarantee for the obligation to refund prepayments and the related liabilities for breach of contract under the coal supply and demand framework contract, its corresponding single contracts, supplementary agreements, correspondence, letter of undertaking and other relevant documents (collectively, the "Contracts") entered into between its wholly-owned subsidiary, Hong Kong Qinfa Energy Limited, and Guangdong GW (Hong Kong) Company Limited. Such liabilities include the refund of prepayments in the amount of RMB 100 million, penalty, damages, interest on prepayment occupancy, and reasonable expenses incurred in enforcing the claims. The maximum guaranteed amount shall not exceed RMB 100 million.
